This Professional Consulting Services Agreement (“Agreement”) governs B2B engagement configurations, retainer purchases, and emergency response mobilizations executed with AL PAPA FOR PUBLIC RELATIONS MANAGEMENT (“Company”). By selecting consulting options on our configurator, initiating WooCommerce checkout, or pre-signing corporate NDAs, the client organization (“Client”) agrees to be bound by these legal terms.

1. Engagement Configurations & Scope

Our engagement structures are defined by the parameters configured by the Client on the Portal and verified in the subsequent checkout invoice. These include:

• Base Retainer Tier: Determines baseline hours and core consulting practices (Corporate Advisory, Management Consulting, or Emergency PR).
• Response SLA Level: Dictates the maximum response window (2h, 12h, or 24h) within which Company consultants must mobilize under threat notifications.
• NDA & Legal Protocols: Defines standard or premium mutual confidentiality clauses, liability limits, and intellectual property (IP) assignments.

2. Billing, Fees & UAE Tax (VAT)

Client agrees to process retainer payments in advance of delivery. The billing cycles, pricing breakdowns, and fee schedules are determined by the configuration summary. In strict compliance with UAE Tax Law, all consulting fees displayed on our website, in the checkout summary, and in the cart checkouts are **inclusive of 5% UAE VAT (VAT Included)**.

3. Mutual Non-Disclosure & Confidentiality

Company enforces absolute discretion regarding client files, crisis details, and litigation support. Reciprocal NDA covenants apply to all digital briefings, secure file transmissions, and face-to-face board coordinates. Premium NDA options extend liability caps and detail IP preservation scopes for B2B proprietary methodologies.

4. Governing Law & Jurisdiction

This Agreement, its interpretation, and any dispute arising from B2B advisory engagements shall be governed exclusively by the laws of the Emirate of Dubai and applicable federal laws of the United Arab Emirates. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the Dubai Courts or resolved via binding arbitration at the Dubai International Arbitration Centre (DIAC).
